Create an investment entity to manage the subscriptions for your offerings

An Offering is essentially a marketing document for an investment deal while the Investment Entity is the legal holding entity. On the Groundbreaker Platform, the Investment Entity is where all transactions, settings, and communications about the Offering are managed. An Offering must be associated with a legal Investment Entity before you can raise funds.

We recommend that you create or assign an Investment Entity as part of the process when you create an offering. You can learn more about that process here. But you can also create an Investment Entity directly from the menu:

=> Select Menu from the Home Dashboard.

=> Then select Investment Entities.

=> Click on + New Entity located at the top right of the page.

You must enter the following data to create the Investment Entity:

  • Legal Entity Name (e.g. GP LLC)

  • Tax ID type (EIN, SSN, ITIN)

  • Tax ID number

  • Address (street address, city, state, zip code)

If you do not have all the details, you can use placeholder data to create the Investment Entity and update it later.

Click Save to create the Investment Entity.

You have created the Investment Entity, but there are a few other steps required before it is fully defined and ready to use as the asset management entity for your Offering.
